In consideration of being permitted to enroll in, access, view, attend, or otherwise participate in the Course the Course Participant agrees as follows:

RELEASE AND WAIVER

To the fullest extent permitted by applicable law, the Course Participant irrevocably releases, waives, and forever discharges Dr. Andrew Dargie and Aesthetics Training Canada Inc., together with their respective directors, officers, employees, instructors, contractors, agents, and affiliates (collectively, the “Released Parties”), from any and all claims, demands, causes of action, losses, damages, liabilities, costs, or expenses of any kind whatsoever, whether known or unknown, foreseen or unforeseen, direct or indirect, arising out of, relating to, or connected in any way with: (a) the Course Participant’s enrollment in, access to, participation in, or completion of the Course; (b) the Course Participant’s reliance upon, interpretation of, or use or misuse of the Course, any course materials, statements, slides, recordings, handouts, discussions,

Q&A, or other content; (c) any alleged error, omission, inaccuracy, incompleteness, or lack of currency in the Course or course materials; (d) any clinical, professional, operational, business, marketing, advertising, or regulatory decision made or not made by the Course Participant after participating in the Course; and (e) any investigation, audit, inquiry, complaint, disciplinary process, enforcement action, or other proceeding involving the Course Participant by any regulatory authority or professional college, including any consequences flowing from such a process.

Without limiting the foregoing, the Course Participant agrees that the Released Parties shall not be liable for any regulatory, professional, medico-legal, reputational, financial, or other consequence arising from the Course Participant’s conduct or decisions, whether or not the Course Participant alleges that the Course influenced those decisions.

CLAIMS COVERED (INCLUDING NEGLIGENCE, WHERE PERMITTED)

This release applies to claims however framed, including in contract, tort (including negligence), misrepresentation, breach of fiduciary duty, breach of a duty of care, or any other legal theory, to the fullest extent such claims may be released or waived by agreement.

INDEMNITY AND DEFENSE OBLIGATION

The Course Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, proceedings, liabilities, losses, damages, penalties, fines, and costs and expenses (including legal fees on a solicitor-and-client basis) arising directly or indirectly from: (a) the Course Participant’s professional practice, clinical conduct, or business activities; (b) the Course Participant’s use, discussion, recommendation, prescription, administration, promotion, advertisement, or other engagement with any peptide or other substance referenced in the Course; (c) any alleged breach by the Course Participant of applicable laws, regulatory requirements, college standards, professional obligations, advertising rules, or practice guidelines; and (d) any representation by the Course Participant, express or implied, that participation in the Course constitutes authorization, endorsement, certification, competence, or approval of any clinical practice or product.

ACKNOWLEDGEMENT OF UNDERSTANDING AND VOLUNTARY AGREEMENT

The Course Participant acknowledges and agrees that: (a) they have had sufficient time and opportunity to read this release and indemnity; (b) they understand it affects their legal rights, including the right to sue; (c) they are entering into it voluntarily; and (d) they have not relied on any statement of the Course provider as legal, clinical, or regulatory advice.

SURVIVAL

This release and indemnity survives completion of the Course and continues indefinitely with respect to events arising from or connected to the Course.

EXCEPTIONS / NON-EXCLUDABLE LIABILITY

Nothing in this release is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

VOLUNTARY ASSUMPTION OF RISK

The Course Participant acknowledges that misinterpretation or misuse of the Course Content may result in patient harm, regulatory investigation or discipline, civil liability, or professional consequences, and voluntarily assume all such risks.

GOVERNING LAW

This release, waiver, and indemnity, and any dispute, claim, or cause of action arising out of or relating to the Course, the Course Content, or the relationship between the Course Participant and the Released Parties, shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

The Course Participant irrevocably attorns to the exclusive jurisdiction of the courts of the Province of Alberta, sitting in the City of Calgary, for the determination of any such dispute, claim, or cause of action, and waives any objection to the venue or jurisdiction of such courts.
